1. Acceptance of Terms
By accessing or using Proven ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
Proven is a web-based system of record for acknowledgements. The Service enables account holders to create notices, deliver them to recipients via SMS and email, track delivery and acknowledgement status, and export records.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that notice content complies with applicable laws
- Obtaining appropriate consent before adding recipients
- The accuracy of recipient contact information
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited commercial messages (spam)
- Distribute harmful, threatening, or unlawful content
- Violate any applicable laws or regulations
- Interfere with or disrupt the Service
- Attempt to gain unauthorised access to any part of the Service
5. Data and Records
Proven maintains delivery and acknowledgement records on behalf of account holders. These records are designed to be append-only and are not modified after creation. The Service provides tools to export these records in CSV and PDF format.
Proven is a record-keeping service. It records that notices were sent and whether acknowledgements were received. It does not provide legal advice, and records generated by the Service should be interpreted in the context of your own legal and compliance requirements.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability.
7. Limitation of Liability
To the maximum extent permitted by law, Proven shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
8. Indemnification
You agree to indemnify and hold harmless Proven and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.
9. Termination
We may suspend or terminate your access to the Service at any time for violation of these terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases, though existing records may be retained as required by law.
10. Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
11. Governing Law
These terms are governed by the laws of Australia. Any disputes arising from these terms or the Service shall be resolved in the courts of Australia.
